The second-largest shareholder in China Vanke is not supporting the proposal to remove the real estate developer’s board, relieving some of the pressure that has been building on company chairman Wang Shi.

On Sunday, Vanke said its largest shareholder, the privately held Baoneng Group, had requested a special shareholders’ meeting to oust Mr Wang and his fellow board members.

Both Baoneng, which holds a 24 per cent stake in Vanke, and state-owned China Resources, which holds 16 per cent of shares, opposed a recently announced transaction that would dilute their holdings.

But until yesterday, China Resources had not said if it would support Baoneng’s putsch. China Resources has three seats on Vanke’s board.

“China Resources objects to the proposal to remove the entire Vanke board of directors and board of supervisors,” the conglomerate said on an official social media account.

It added that any changes should be “beneficial” to Vanke’s development.

The takeover battle has transfixed Chinese investors and business media, as such disputes are extremely rare. Baoneng quietly built up its stake in Vanke last year, threatening the independence Mr Wang and his managerial team have traditionally enjoyed.

In December, Mr Wang dismissed Baoneng as a “barbarian” intruder, saying its share purchases were not welcome and could wreck Vanke’s corporate culture.

Over the past week, the official Xinhua news agency published two commentaries that described the controversy as “a debate of concern to all [of China’s] people”.

“So long as the outcome is of benefit to Shenzhen’s development, and to the development of enterprise, we will support it,” an official at the state-owned Assets Supervision and Administration Commission, which oversees China Resources and other large state-owned enterprises, told Xinhua.

Earlier this week, Fu Chengyu, who had previously headed one of China’s biggest energy companies, expressed his support for the management of Vanke.

In an interview with a Chinese financial news service, the former Sinopec chairman said that Vanke was a rare example of a well-managed and transparent listed company, adding that such companies should be protected by market regulators.

The battle has been seen by many as a metaphor for the contest between well-connected companies, such as Vanke, and scrappy private sector newcomers epitomised by Baoneng.
